Terms of Service — Good Writing App, LLC

Notice — United States only. This Service is available only to users in the United States. We do not currently offer the Service in the European Economic Area, the United Kingdom, or Switzerland. If you are accessing from outside the United States, please do not create an account or use the Service.
These Terms of Service ("Terms") are entered into between you and Good Writing App, LLC, a California limited liability company, with principal office at 1968 S. Coast Hwy, #5356, Laguna Beach, CA 92651 ("Good Writing," "we," "us," or "our"), and govern your use of the Good Writing App at goodwriting.app (the "Service"). By creating an account or using the Service, you agree to these Terms.
If you do not agree, do not use the Service.
Transition from beta; supersession and acceptance
These Terms, effective as of June 9, 2026 (the "Effective Date"), supersede and replace in their entirety all prior versions of the Good Writing terms of service or end-user agreements, including without limitation any beta-program terms of service in effect before the Effective Date. This ToS supersedes all prior versions.
Good Writing App, LLC, a California limited liability company, operates the Service from the Effective Date forward. The Company, as Successor, has assumed all rights and obligations of the prior beta operator with respect to each beta-user account and related personal information created before the Effective Date, in connection with the Company's formation and the assignment of pre-formation assets to the Company. Your prior consents (including marketing or communications preferences you gave during the beta period) remain in effect except where these Terms or our then-current Privacy Policy expressly state otherwise.
Beta users: affirmative acceptance on first login
If you used the Good Writing application or website during the beta period (before the Effective Date), you must, on your first login on or after the Effective Date, click a button labeled "I agree to the Terms of Service" with a hyperlink to these Terms displayed directly adjacent to that button before you may continue to use the Service. By clicking that button, you (i) agree to be bound by these Terms; (ii) acknowledge that Good Writing App, LLC has assumed all rights and obligations of the prior beta operator with respect to your account; and (iii) ratify your continued use of the Service under these Terms.
If you do not agree, discontinue use of the Service and you may request deletion of your account and personal information as described in Section 13 and our Privacy Policy.
Personal information assumed with beta accounts
By accepting these Terms (whether through the beta-user click described above or, if you are not a beta user, by creating an account or using the Service on or after the Effective Date), you acknowledge that Good Writing App, LLC has assumed personal information previously held by the prior beta operator in connection with your beta account, and that such assumption occurred in connection with the formation of the Company and transfer of assets to the Company. Good Writing App, LLC will use your personal information in a manner consistent with the privacy notice in effect when it was originally collected, except as disclosed in our then-current Privacy Policy.
1. The Service
The Good Writing App is a companion tool to the book Good Writing: 36 Ways to Improve Your Sentences by Neal Allen and Anne Lamott. The Service analyzes text you submit, highlights sentence-level issues, and explains the writing principles behind them.
The Service is currently designed to highlight and explain rather than rewrite. It does not rewrite your text, generate writing for you, or suggest replacement phrasing as part of the analysis. You decide what to change. We may add or change features over time, with reasonable notice of material changes that affect paid subscribers.
2. Eligibility and geographic scope
You must be at least 13 years old to create an account. If you are at least 13 but under the age of majority in your state (typically 18), you may use the Service only if a parent or legal guardian has reviewed and agreed to these Terms on your behalf, and you confirm that they have done so. By creating an account, you represent that you (and, if applicable, your parent or legal guardian) meet these requirements and have the legal capacity to enter into this agreement.
The Service is intended for users in the United States. We do not currently offer the Service in the European Economic Area, the United Kingdom, or Switzerland. If you access the Service from a country other than the United States, you do so on your own initiative and are responsible for compliance with local laws to the extent local laws apply.
3. Your account
Each account is for one individual user and may not be shared.
You are responsible for:
- Providing accurate information when you sign up
- Keeping your account credentials secure (whether you sign in with a magic link or with an optional password)
- All activity that occurs under your account
If you suspect unauthorized use of your account, notify us immediately at support@goodwriting.app.
We may suspend or terminate accounts that violate these Terms, attempt to abuse the Service, or pose a security risk.
4. Subscription tiers and access
The Service offers the following access levels:
- Anonymous use: Limited access without an account, for trying the Service.
- Free account: Access to a limited subset of analysis rules.
- Paid access: Full access to all analysis rules. Paid access is granted in two ways:
- Subscription: A recurring monthly or annual subscription.
- Book-proof verification: Proof of purchase of Good Writing: 36 Ways to Improve Your Sentences may grant a defined period of full access. You may upload a photograph of the book, a receipt, or another proof we accept. You may redact any personal information (such as your name, address, or payment-card details) from the artifact before uploading. We review the artifact only to confirm ownership and prevent fraud, and we delete it within 30 days of the verification decision. The specific terms of any book-proof promotion will be displayed at the time of redemption.
We reserve the right to change pricing, plan structures, and the rules included in each tier with reasonable notice. Price changes will not affect your current paid billing period.
5. Billing, renewal, and cancellation
Auto-renewal
Paid subscriptions automatically renew at the end of each billing period (monthly or annually, depending on the plan you chose) unless you cancel beforehand.
When you complete checkout by clicking "Subscribe," you authorize us, through our payment processor (currently Stripe), to charge you on a recurring basis according to these Terms until you cancel. This authorization applies to whichever payment method you select at checkout — including a credit or debit card, bank account, Cash App Pay, Klarna, Amazon Pay, or Link — and to the payment method Stripe keeps on file for your subscription to apply future renewal charges.
Each renewal is charged at the then-current price for your plan, plus applicable taxes. For monthly plans, that is the monthly price charged once per month. For annual plans, that is the full annual price charged once per year on your renewal date: even where the price is also displayed as a per-month equivalent (for example, "$9.00 / month billed annually"), you are charged the full annual amount as a single yearly payment, not in monthly installments.
For annual plans, we will send you a reminder email 15 to 45 days before renewal that includes the renewal amount, renewal date, and easy cancellation instructions.
California automatic renewal terms
For California consumers, the following terms apply to subscriptions that renew automatically:
- At checkout, we disclose the recurring charge, billing frequency, cancellation terms, and the steps needed to avoid future charges.
- At checkout, before you authorize payment, we present the automatic-renewal terms in proximity to the subscribe control, and your completion of checkout by clicking "Subscribe" constitutes your affirmative consent to those terms.
- After purchase, we send a retainable email confirming renewal terms, cancellation instructions, and a direct cancellation link.
Price changes
If we increase the price of your subscription, we will give you advance notice by email before the change takes effect. For annual plans, we will provide notice at least 30 days before renewal. If you do not wish to accept a price change, you may cancel before the next renewal date.
Cancellation
You can cancel your subscription at any time online from your account Settings, without needing to contact us or speak to anyone. Cancellation through Settings is at least as easy as the signup process. Cancellation takes effect at the end of your current billing period — you will retain access to paid features until that date. After cancellation, your account reverts to the free tier.
Refunds
You may request a full refund within 30 days of your subscription purchase or renewal by emailing support@goodwriting.app. After the 30-day window, subscription payments are non-refundable except as required by law or as expressly described in a refund policy displayed at the time of purchase. We do not provide partial refunds for unused portions of a billing period.
If you believe a charge was made in error, contact support@goodwriting.app within 30 days and we will review the request in good faith.
Failed payments
If a payment attempt fails, our payment processor automatically retries on a schedule. We will email you noting the attempt and next scheduled retry. If the subscription transitions to an unpaid state, paid features will be suspended on your next request until the payment is resolved. Once the payment is successfully resolved, paid features are restored automatically.
Taxes
Prices displayed do not include applicable sales tax, VAT, GST, or other taxes, which may be added at checkout based on your location.
6. Acceptable use
You agree not to:
- Use the Service to violate any law or the rights of others
- Submit content that you do not have the right to submit
- Submit content that is unlawful, defamatory, harassing, or infringes intellectual property rights
- Attempt to bypass rate limits, access controls, or paid-feature gates
- Resell, sublicense, or redistribute access to the Service
- Use the Service in a way that interferes with other users or degrades performance for others
- Submit content that contains malware, exploits, or attempts to compromise the Service
- Attempt to reverse engineer, scrape, or extract the Service's analysis logic, rule definitions, or written explanations
- Use the Service, or any output of the Service, to develop, train, fine-tune, or evaluate any artificial intelligence model, machine learning model, language model, or similar automated language-processing system
- Use automated tools (bots, scripts, scrapers) to interact with the Service without our written permission
We may suspend or terminate access for any violation of this section.
7. Your content
Ownership
You retain all ownership and intellectual property rights in the text you submit to the Service. We do not claim any rights to your writing.
License to operate the Service
You grant us a limited, non-exclusive, worldwide, royalty-free license to process the text you submit solely to provide the Service to you — meaning, to send your text to our language analysis provider, return the highlights and explanations, and (if you save it) store the document on your behalf.
This license:
- Does not include the right to use your text to train any model or automated system that analyzes, generates, or processes natural language. Any third-party service we use to analyze your text is contractually prohibited from using your text to train its models.
- Does not include the right to publish, distribute, or share your text with anyone other than the providers necessary to operate the Service.
- Ends when you delete the text from the Service or when your account is deleted, except for any brief survival period required to allow routine backups to overwrite.
Saved documents
If you save documents to your account, they are stored in our database so you can access them across sessions. The content of saved documents is encrypted at rest. See our Privacy Policy for details on how saved-document content is handled.
Analysis output
The Service generates output specific to the text you submit, consisting of highlights and explanations applied to your text. You are free to use this output for any lawful purpose, including in connection with your own writing and for any commercial use. The underlying rule definitions, explanations, and written content of the Service are owned by us as described in Section 8 and remain ours; this license to use the analysis output does not transfer ownership of those underlying assets.
Feedback feature
If you use the in-app feedback feature to flag a highlighted issue as unhelpful, we receive limited information about the flagged issue and the surrounding context. The feature is enabled by default but is fully manual — nothing is sent unless you click the flag button. You can disable it in Settings. See our Privacy Policy for details.
8. Our intellectual property
The Service, including its software, design, branding, rule definitions, written explanations, and content (other than your submitted text), is owned by us or our licensors and is protected by copyright, trademark, and other intellectual property laws.
Underlying craft principles are used under license. Nothing in these Terms grants rights in the underlying book.
You may not copy, modify, distribute, sell, or reverse engineer any part of the Service except as expressly permitted by these Terms or applicable law.
9. Third-party services
The Service relies on third-party providers (including hosting, payment processing, analytics, language analysis, advertising and conversion measurement, email delivery, and embedded forms). Their services are governed by their own terms and privacy policies. We are not responsible for the acts, omissions, or content of third parties. A current list of named subprocessors is available at goodwriting.app/subprocessors.
If a third-party provider becomes unavailable, the Service may be temporarily affected. We will work to restore functionality but cannot guarantee uninterrupted access.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
We do not warrant that:
- The Service will be uninterrupted, error-free, or completely secure
- The analysis results will be accurate, complete, or suitable for any particular purpose
- Any defects will be corrected
The Service is a teaching tool. The highlights and explanations it provides are guidance based on writing principles, not professional editorial advice. You are solely responsible for the final form and use of your writing.
Because the Service relies on automated language analysis to interpret your text, its highlights and explanations may sometimes be incorrect, inconsistent, or missing context. Treat the output as suggestions to review and apply your own judgment to, rather than as authoritative judgments about your writing.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE, OUR AFFILIATES, OR OUR SUPPLIERS BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOST PROFITS, LOST REVENUE, LOST DATA, OR LOSS OF GOODWILL
- ANY DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE
OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
The foregoing limitations and exclusions do not apply to: (i) your indemnification obligations under Section 12; (ii) liability for fraud, intentional misconduct, or gross negligence; or (iii) liability that cannot be excluded or limited under applicable law.
Some jurisdictions do not allow limitations on certain warranties or damages, so some of the above may not apply to you. In those jurisdictions, our liability is limited to the maximum extent permitted by law.
12. Indemnification
You agree to defend, indemnify, and hold harmless Good Writing App, LLC and our officers, directors, employees, and agents (the "Indemnified Parties") from any third-party claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service in violation of these Terms or applicable law
- Content you submit to the Service
- Your violation of any third party's rights
We will (a) promptly notify you in writing of any claim for which we seek indemnification under this Section 12, (b) give you reasonable cooperation in defending the claim (at your reasonable expense), and (c) allow you to control the defense and settlement of the claim, except that we may participate in the defense at our own expense, and you may not settle any claim that imposes any obligation, payment, restriction, or admission on any Indemnified Party without our prior written consent (not to be unreasonably withheld). A delay in notice does not relieve you of your indemnification obligations except to the extent you are materially prejudiced by the delay.
13. Termination and account deletion
You may stop using the Service at any time.
To delete your account, email privacy@goodwriting.app. We will process the deletion request within 30 days. Deletion covers the categories of personal information described in our Privacy Policy. Limited billing and tax records may be retained as required by law.
For 30 days after your account is deleted or terminated, you may request export of any saved documents associated with your account by emailing support@goodwriting.app. After 30 days, exports are no longer available.
We may suspend or terminate your access immediately, without notice, if we believe you have violated these Terms, attempted to abuse the Service, or pose a risk to the Service or other users. We may also terminate your access for convenience on at least 30 days' prior notice.
On termination:
- Your right to use the Service ends immediately
- Sections of these Terms that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, dispute resolution, and assignment) will survive
- We will handle your data as described in the Privacy Policy
14. Dispute resolution
14.1 Informal resolution
Before bringing a formal dispute, you agree to first contact us at support@goodwriting.app and attempt in good faith to resolve the issue informally. We will do the same.
14.2 Governing law and forum
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service that is not resolved informally will be resolved exclusively in the state or federal courts located in San Diego County, California. You and we each consent to personal jurisdiction in those courts.
14.3 Jury-trial and class-action waiver
You and we each waive any right to a trial by jury. To the maximum extent permitted by law, you and we each waive any right to participate in a class or representative action. If this class-action waiver is found unenforceable as to a particular claim, the entire dispute-resolution section will not apply to that claim, and that claim will instead be resolved in the courts identified in Section 14.2 under their applicable rules. The jury-trial waiver and the class-action waiver are not severable from each other.
14.4 Small-claims carve-out
Either party may bring an individual claim in small-claims court if the claim qualifies and remains in that court.
14.5 Consumer protections
If you are a consumer in a jurisdiction that requires disputes to be resolved in your local courts or under local law, those requirements apply notwithstanding the above.
15. Changes to these Terms
The Transition from beta; supersession and acceptance section above governs the initial move from pre-formation beta operations to Good Writing App, LLC and requires affirmative acceptance by beta users on first login on or after the Effective Date. The following applies to later changes to these Terms after that transition.
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service and update the "Last updated" date at the top of this page. Material changes will take effect no sooner than 30 days after notice. A version history is available at goodwriting.app/terms/changelog. Continued use of the Service after the effective date is your acceptance of the updated Terms. If you do not agree, you may close your account.
16. Force majeure
We will not be liable for any delay or failure to perform under these Terms caused by events beyond our reasonable control, including acts of God, natural disasters, pandemic, war or armed conflict, government action, labor disputes, cyberattack, internet or third-party provider outages, or failures of utility services. This does not relieve you of your obligation to pay any fees that have already accrued.
17. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy and any additional terms displayed at the time of purchase, constitute the entire agreement between you and us regarding the Service.
- Severability. If any part of these Terms is found unenforceable, the rest will remain in effect.
- No waiver. Our failure to enforce any provision is not a waiver of the right to enforce it later.
- Notices. We may give notices by email to the address on your account or by posting in the Service.
- Electronic communications. You consent to receive communications from us electronically, including notices required by law. Electronic communications will be considered to satisfy any requirement that a communication be in writing.
18. Assignment
The defined terms in Section 21 (Defined terms for assignment and transition) apply to this Section 18.
You may not assign or transfer these Terms or any rights under them without our prior written consent, and any attempt to do so without our consent is void. We may assign these Terms and all related rights, without your consent and without notice, to a Permitted Assignee, including in connection with a Change of Control. Any Successor will be bound by our Privacy Policy in effect on the date of assignment until it is amended in accordance with that Privacy Policy.
19. Copyright complaints (DMCA)
We respect the intellectual property rights of others. If you believe content on the Service infringes your copyright, please send a written notice to our designated agent that includes the information required under 17 U.S.C. § 512(c)(3), including: (a) a physical or electronic signature of the copyright owner or an authorized agent; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material claimed to be infringing and information reasonably sufficient to permit us to locate the material; (d) your contact information; (e) a statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law; and (f) a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.
Our designated agent for receiving notifications of claimed infringement is registered with the U.S. Copyright Office in the DMCA Designated Agent Directory. The agent's current contact information is:

We will respond to valid notices in accordance with the DMCA, which may include removing or disabling access to the allegedly infringing material and notifying the user who submitted it. If you believe material you posted was removed or disabled in error, you may submit a counter-notification containing the information required under 17 U.S.C. § 512(g). We may terminate the accounts of users we determine to be repeat infringers.

21. Defined terms for assignment and transition
To make assignment and transition rights clear in an acquisition, restructuring, or similar transaction, the following terms apply wherever used in these Terms.
"Person" means any individual, corporation, limited liability company, partnership, trust, governmental authority, or other entity.
"Change of Control" means, with respect to any Person: (a) the acquisition, directly or indirectly, by any Person or group (as used in Section 13(d) of the Securities Exchange Act of 1934) of beneficial ownership of more than fifty percent (50%) of the outstanding voting interests of such Person; (b) the consummation of any merger, consolidation, or reorganization in which holders of voting interests of such Person immediately before the transaction hold less than fifty percent (50%) of the voting interests of the surviving or resulting entity immediately after the transaction; (c) any change in the composition of the board of managers (or equivalent governing body) of such Person such that managers who were serving on the Effective Date (or their designated successors) cease to constitute a majority; or (d) any sale, lease, exclusive license, or other disposition of all or substantially all of the assets of such Person to a third party.
For purposes of the Change of Control definition above, references to "the Effective Date" mean the date of formation of the Company.
"Permitted Assignee" means any assignee or transferee that acquires the applicable agreement and the business to which it relates, including any successor in interest by merger, consolidation, reorganization, asset purchase, or Change of Control, and that delivers an executed written assumption of all obligations of the assigning party under the applicable agreement. "Successor" means a Permitted Assignee.
